Bylaws and Articles of Incorporation
The Trails Club Bylaws are main governing document or our club. Everything the club does is governed by the Bylaws.
The Articles of Incorporation is the legal document that establishes our club.
Both documents are available in Adobe’s Portable Document Format (PDF). These can be viewed and printed by all users with the free PDF reader. The latest free version of the PDF reader is available at the Adobe Reader webpage
Both documents required a revision to comply with rules and regulations in transitioning to a 501(c)(3) organization.
The new Articles of Incorporation and Bylaws were approved by attending members at the 2024 Annual Meeting on November 17, 2024.
The new Articles of Incorporation have been filed with the Oregon Secretary of State, Corporation Division.
Filing with the IRS is in process.
The new bylaws are brief compared to the old bylaws as they contain the elements of the Club’s governance that will rarely change. The elements of the old bylaws that are subject to frequent change are contained in the Practices and Policies document. The Practices and Policies document can be changed by a Board vote to reflect current practices.
